We offer 2 all inclusive program options


OPTION 1

The management option


With this program Plus Services Corp. will manage the daily operation as
stated above. The owner will continue to pay for all truck related issues as
stated above. Plus Services Corp. will prepare all documents related to
payroll, truck and driver certification and schedule all preventative
maintenance. Plus Services Corp. will charge a monthly fee for these
services. This fee will be a percentage of truck revenues with a minimum
charge.


OPTION 2

The lease / purchase option

With this program Plus Services Corp. will purchase your truck under a
lease / purchase agreement. The price will be determined by 3 appraisals
from Freightliner Dealers to be determined. A schedule of payments will be
created with a final payment at the lease end of $1.00. The length of term
and interest rate are negotiable. Payments and settlements will be
balanced and disbursements made once a month on or no later than the
15th. of the following month. Plus Services Corp. prepares weekly, monthly
and yearly reports and has all tax returns prepared by American Truck
Business Services. Plus Services Corp. will assume the daily management
responsibilities and act as liaison between the drivers and FedEx Custom
Critical or Panther Expedited Services. From time to time FedEx Custom
Critical or Panther Expedited Services may require input from the “Owner
of Record”. Plus Services Corp. will assume all costs related to the
operation of the truck including but not limited to the following:

recruiting all drivers.

Explanation of services provided


Driver Pre-qualification interview.

Every driver is thoroughly pre-qualified and all references are checked. A
formal interview and qualifications check list is strictly followed. Drivers new to
FedEx Custom Critical are provided with a driver’s package which is reviewed
before submission to a FedEx Custom Critical or Panther Expedited Services
recruiter. Personal background is reviewed and team relationships are
discussed. We have found that there are many factors that determine a driver’
s productivity including finances, partner and mate relationships, family,
children, health and living situations.


Extensive orientation.

A face to face orientation of approximately 4 hour is held before the truck is
turned over to the driver(s). The Operations Manual is covered in detail. All
paperwork, truck maintenance and operational procedures are covered in
detail. The truck is road tested and the condition of the truck is documented in
writing and by digital photos. An inventory is performed and all information is
noted in the driver’s contract.


Driver contract and security deposit requirement.

A written agreement is signed by the driver(s) and Plus Services Corp. to
insure compliance with its terms. All aspects of the relationship are covered
and agreed upon. A damage security agreement and deposit may be
required. This will be determined by an assessment of all information
gathered during the background check and pre-qualification interview.


Complete Operations Manual.

Every effort is made to provide the driver(s) with all the tools needed to
professionally perform their duties. This is covered in the Operations Manual.
A comprehensive reference guide that covers such topics as, how to deal with
dispatch, going into Canada, transporting haz-mat, using the VRU phone
system, express center stats (best lay over options) and how to get paid to
dead head to a better express center. This manual also has a copy of every
FedEx Custom Critical or Panther Expedited Services form you will need and a
filled out example for each. The Operations Manual is like the expediting
business, changing and expanding and is updated as needed.


24 hour phone support.

A member of the management team is available by phone 24 hours a day. We
can provide the driver(s) with an immediate response to any issue. From
break-downs to directions we are there.


Driver recruitment network.

We are constantly searching for great drivers through truck stops, FedEx
Custom Critical or Panther Expedited Services recruiters and Internet web-
sites. We also advertise in print ads and on line.


Management team White Glove, T-Val and Art Team qualified.
The Plus Services Corp. Management team has logged close to 1 million
incident free miles and we have compiled trip data since day one. We have
had numerous commendations and positive comments from our customers.
On numerous occasions we have consulted with other drivers for the dispatch
department on such topics as art load Securement and getting around New
York City.


P.M. schedule with written and e-mail notification included in
our
"Weekly Overview Task Bulletin".

A complete preventable maintenance schedule is provided in the Operations
Manual. This covers all the working parts of the truck including the refer unit,
gen-set, pro-heat, lift-gate, tag- axle, sleeper appliances, fluids, truck washes,
DOT inspections and all other replaceable parts. Reminders are also
provided 30 days before the scheduled maintenance. Follow-up phone
reminders and service point locations are also provided. A documentation of
all verbal requests and a confirmation of all issues discussed on the phone
are also noted in the Weekly Overview and a copy is sent to the driver(s) home
and e-mail address.


Routine truck and inventory inspection with digital photo
documentation.

Photo documentation of the trucks exterior and interior condition is obtained bi-
monthly and any damage other than normal wear and tear is noted and given
a dollar value. All inventory items are counted and their condition is checked.
This insures that the truck is being maintained and cleaned on a regular
basis. It also protects the integrity and safety of all delicate cargo.


Quarterly performance and customer service review.

Every 3 months a statistical report is compiled from the information provided
by the driver(s), the FedEx Custom Critical or Panther Expedited Services
Contractor Relations department. This report includes load acceptance,
availability, on time performance and customer feedback. Any driving related
information is also reviewed and noted.


Truck and driver incident documentation.

All truck and driver incidents are documented in writing and a copy is sent to
the FedEx Custom Critical or Panther Expedited Services safety department. A
follow-up interview and a written assessment with instructions are given to the
driver(s).


Weekly fuel usage monitoring.

All loaded and deadhead miles are accounted for. A formula in the weekly
spreadsheet calculates the total miles against the trucks average fuel
economy. The driver(s) and management team have access to real time fuel
usage after each run. This assures that the driver(s) are getting the maximum
fuel economy and are paying for personal deadhead miles except for the
personal deadhead miles as provided in the driver’s contract.


T-Chek/Com- Data Tolls (cash & EZ Pass) usage monitoring.

We monitor usage through the T-Chek / Com-Da and EZ Pass web sites
daily  to verify that the fuel receipts,draws and toll charges are accurate. This
helps to keep down the monthly service charges assessed.


Load acceptance and availability minimum requirements.

Drivers are required to be in service 75% of the time and accept 65% of the
loads offered to them. These benchmarks are tied to our bonus program and
pay scale.


Driver bonus incentive program.

We offer the highest compensation with a bonus program. Revenue level
benchmarks are listed in the driver contract and bonuses are paid monthly.


Weekly driver cash reconciliation.

Driver(s) are paid weekly and a statement of earnings is generated and
included with each paycheck.


In-Truck mobile office with copier/scanner and excel
spreadsheet software.

Every truck is equipped with a copier scanner that can be linked to the driver
(s) laptop. This allows the downloading of e-mails and the copying of forms
and documents needed for the efficient operation of the truck. We also supply
a copy of the Microsoft Excel program for accounting and cash reconciliation.
